1. Overview
These Terms of Service ("Terms") govern your access to and use of Imaginate (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. What the Service Does
Imaginate is a tool that enables users to submit prompts or images to third‑party AI providers to generate or transform images. We act as a conduit that forwards your inputs to external AI APIs (for example, hosted model providers) and return their outputs to you. We do not create the outputs ourselves, we do not control the models, and we do not guarantee any particular result.
3. Your Responsibility for Content
- You are solely responsible for your inputs (prompts, reference images, annotations, and any other material you provide) and for any outputs you choose to use or publish.
- You must review outputs for accuracy, legality, and suitability for your use case. Outputs may be inaccurate, incomplete, offensive, or otherwise undesirable.
- Do not rely on outputs as professional advice. You assume all risk for any decisions or actions taken based on outputs.
4. Third‑Party AI Providers
- The Service integrates with third‑party AI APIs. Their terms, policies, and availability apply and may change at any time.
- We do not endorse, control, or guarantee any third‑party services or their outputs, uptime, safety, or compliance.
- Your prompts and related metadata may be transmitted to those providers to fulfill your request.
5. Acceptable Use
You agree NOT to use the Service to:
- Violate any law or regulation, including IP, privacy, or publicity rights.
- Generate or distribute content that is unlawful, harmful, exploitative, harassing, hateful, or otherwise objectionable.
- Infringe any third‑party rights or submit content you do not have the right to use.
- Attempt to reverse engineer, abuse rate limits, or degrade the Service or third‑party providers.
6. Ownership and License
- You retain your rights in your inputs. To operate the Service, you grant us a non‑exclusive, worldwide, royalty‑free license to process your inputs and outputs as needed to provide the Service to you (including transmission to third‑party AI providers).
- As between you and us, we do not claim ownership of your outputs. Your rights in outputs, if any, may be subject to the terms and policies of the third‑party AI providers used to generate them.
- You are responsible for ensuring your use of outputs complies with applicable laws and third‑party terms.
7. No Warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE (AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR OUTPUTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
9. Indemnification
You will defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your inputs or outputs; (b) your use of the Service; (c) your violation of these Terms or any applicable law; or (d) your violation of any third‑party rights.
10. Content Removal and Takedowns
We may remove or disable access to content we believe violates these Terms or applicable law. If you believe content infringes your rights, you may send a detailed notice to the contact below and we will review in accordance with applicable law.
11. Accounts and Security
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must promptly notify us of any suspected unauthorized use or security incident.
12. Suspension or Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including suspected violations of these Terms or risk to the Service or third parties.
13. Changes to the Service or Terms
We may modify the Service and these Terms at any time. Changes become effective when posted. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
14. Export and Sanctions
You must comply with all applicable export control and sanctions laws. You may not use the Service if you are prohibited from doing so under such laws.
15. Governing Law
These Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to conflict of laws principles. The exclusive venue for disputes will be the courts located in that jurisdiction.
